Shortcomings In The Legal System On Limited Partnership In Vietnam
Abstract
Currently, Vietnamese law does not clearly distinguish between limited partnership and general partnership. Limited partnership is still crammed together with general partnership in some articles in 2020 Enterprise law. In other words, Vietnam's enterprise legal system still has many shortcomings related to limited partnership. However, studies on the suitability between limited partnership and the current Vietnamese commercial environment show that the limited partnership has more advantages than general partnership. Furthermore, limited partnership also has outstanding advantages that other types of the company such as joint stock company or limited liability company do not have in Vietnam. Notwithstanding, as discussed above, the limited partnership has not received much attention from the lawmaker and investors in Vietnam. Therefore, the article studies the suitability between limited partnership and the current Vietnamese commercial environment, from there, point out shortcomings, and proposes some solutions to develop the limited partnership in Vietnam.
